SIAK , JURNAL TIPIKOR – Rapat Umum Pemegang Saham (RUPS) sirkuler PT Samudera Siak (SS) yang dilaksanakan pada Selasa, 5 Agustus 2025,
menghasilkan keputusan penting. Pemegang saham, yaitu PT Sarana Pembangunan Siak (SPS) dan PT Siak Pertambangan dan Energi (SPE), bersepakat untuk memberhentikan jajaran direksi dan komisaris PT SS secara tidak hormat.
“Kami sebagai pemegang saham harus mengambil langkah tegas untuk memberhentikan jajaran direksi dan komisaris yang lama secara tidak hormat karena kelalaiannya dalam pengelolaan PT SS,” ujar Direktur PT SPS, Bob Novitriansyah, dalam siaran persnya.

Keputusan ini diambil setelah meninjau laporan keuangan perseroan tahun 2023 dan 2024 yang terus menunjukkan kerugian. Kinerja Direktur Juprizal dan Komisaris Wira Gunawan dinilai tidak optimal. Keadaan ini diperparah dengan kegagalan PT SS dalam mendapatkan kembali izin pengelolaan kawasan pelabuhan Tanjung Buton.
Menanggapi pemberhentian jajaran direksi PT SS, Direktur Pengawas Teritorial (Dirwaster) BPKP Provinsi Riau, Farizal, memberikan komentar tajam.
Menurutnya, keputusan tersebut menunjukkan bahwa PT SPS sebagai pemegang saham tidak melakukan pengawasan dengan baik.
“Saya miris membaca pernyataan Direktur PT SPS tentang kinerja PT SS, menyalahkan direksi PT SS seolah-olah PT SPS tidak punya andil di situ. Padahal ada saham PT SPS di PT SS,” kata Farizal.

Ia menilai PT SPS seharusnya mengontrol manajemen PT SS sejak dini. Jika merugi dan kinerja direksi dianggap tidak mampu, rapat pemegang saham seharusnya sudah diadakan jauh hari sebelumnya untuk mengganti direksi yang lebih baik.
Farizal mengungkapkan bahwa manajemen PT SS sudah bermasalah sejak sebelum tahun 2022. Ia mempertanyakan mengapa PT SPS baru bertindak dan menyalahkan direksi setelah empat tahun.
“Jadi, apa kerja PT SPS selama ini sebagai pemegang saham?” tanyanya. Farizal pun mendesak DPRD untuk menekan Bupati agar mengganti seluruh jajaran PT SPS dan PT Kawasan Industri Tanjung Buton (KITB).
“Cabut dengan akarnya. Baru bisa lahan itu kita ganti dengan tumbuhan lain. Kalau tidak, tumbuhan yang baru tetap mati karena masih ada akar lalang yang kokoh dibiarkan,” tegasnya.

Menurut Farizal, jika PT SPS dan PT KITB tidak mendatangkan Pendapatan Asli Daerah (PAD) bagi Kabupaten Siak, maka sebaiknya dibubarkan saja dan diganti dengan Badan Pengelolaan Kawasan Buton yang bertanggung jawab langsung kepada Bupati. Hal ini akan lebih jelas dan efektif.
Ia juga menyoroti satu direktur BUMD yang menjabat sejak era Bupati Arwin dan belum diganti hingga saat ini, meskipun prestasinya dinilai nihil.
